Research signal, not investment advice. Form 4 AI is a research and filing-triage tool. Nothing on this site is investment, legal, tax, or accounting advice, and nothing here is a recommendation to buy, sell, hold, or trade any security.

What this site is

Form 4 AI aggregates publicly-available U.S. SEC Form 4 insider transaction filings and applies an analytical layer — a transparent rule-based score and an LLM-generated thesis — to help readers quickly decide which filings are worth a closer look. It is an educational and research tool.

What this site is not

  • It is not a registered investment adviser, broker-dealer, or financial planner. It does not provide personalised investment advice and has no fiduciary duty to you.
  • It does not provide legal, tax, or accounting advice. Consult a licensed professional for those.
  • It does not predict prices, returns, or market direction. The conviction scores and theses are analytical signals, not forecasts.
  • It does not recommend that any user buy, sell, short, or hold any specific security.

About the data

All filing data is sourced from SEC EDGAR. EDGAR is the authoritative source. Form 4 AI processes filings on a best-effort basis and there can be delays, parsing errors, omissions, or other inaccuracies. Always verify against the original filing on SEC.gov before acting on anything you read here.

Many Form 4 filings are mechanical or non-informative — option exercises, tax-withholding sales, scheduled grants, 10b5-1 plan executions, and gifts can carry no directional view from the insider. Even open-market purchases and sales are noisy signals and have wide outcome distributions.

About the scores and theses

The conviction score is produced by combining a deterministic rule-based component (described on the methodology page) with an LLM-generated analytical thesis. The methodology evolves and is publicly documented; the public track record shows how prior scores have related to forward returns, but past performance does not guarantee future results.

LLM theses are generated automatically by a large language model and may contain factual errors, hallucinations, or omissions despite our best efforts to ground every output in the underlying filing and a public issuer-context bundle. Treat them as a starting point for your own due diligence, not as a conclusion.

Your responsibility

You are solely responsible for the trading and investment decisions you make. Before acting on anything you read here, do your own research, verify the underlying filings on SEC.gov, and consider consulting a licensed financial professional. We accept no responsibility for losses or other harm resulting from the use of this site.
